1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Synapse Discovery ("Company," "we," "us," or "our") governing your access to and use of the Synapse Discovery website, REST API, MCP server, SDK and command-line tools, bulk data downloads, and all related services (collectively, the "Services").

By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Data Usage Policy, which are incorporated herein by reference.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Not be located in a jurisdiction where access to such Services is prohibited

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials and API keys
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4. Services and Data

4.1 Description of Services

Synapse Discovery provides access to financial data including, but not limited to, historical stock prices, company fundamentals, ETF holdings, mutual fund holdings, institutional (13F) holdings, and macroeconomic data through our REST API, MCP server, and bulk Parquet downloads.

4.2 Data Sources and Accuracy

Our data is sourced from publicly available sources including the U.S. Securities and Exchange Commission (SEC), stock exchanges, and other public repositories. While we make reasonable efforts to ensure data accuracy:

• We do not guarantee the accuracy, completeness, or timeliness of any data
• Data may contain errors, omissions, or delays
• Historical data may be restated or corrected
• Real-time data, if offered, may be delayed

4.3 No Investment Advice

THE SERVICES DO NOT CONSTITUTE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE. We are a data provider, not a registered investment advisor, broker-dealer, or financial planner. You should not make any investment decisions based solely on data obtained from our Services. Always consult with qualified financial professionals before making investment decisions.

4.4 Service Availability and Changes

We do not guarantee that the Services will be available, uninterrupted, timely, secure, or error-free. We may, at any time and in our sole discretion, modify, suspend, or discontinue the Services (in whole or in part), impose limits on certain features, or restrict access, with or without notice, and we will not be liable to you or to any third party for any such modification, suspension, or discontinuation. We may also perform scheduled or emergency maintenance that temporarily limits availability. Any uptime, support-response, or other service-level commitment applies only where expressly agreed in a separate written agreement signed by Synapse Discovery (for example, an Enterprise agreement); absent such an agreement, the Services are provided without any uptime or service-level guarantee.

5. Subscription Plans and Payment

5.1 Subscription Tiers

We offer various subscription tiers with different features, API limits, and data access levels. Current pricing and features are available on our website and may be modified at our discretion with reasonable notice.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the applicable fees. All fees are non-refundable except as expressly stated herein or required by law.

5.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.4 Price Changes

We reserve the right to change subscription prices. Existing subscribers will receive at least 30 days' notice before price changes take effect on their accounts.

6. Acceptable Use

6.1 Permitted Use

You may use our Services for lawful purposes in accordance with your subscription tier, including research, analysis, application development, and personal projects.

6.2 Prohibited Use

You agree NOT to:

• Resell, redistribute, or sublicense our data without explicit written authorization
• Share API keys or account credentials with unauthorized parties
• Circumvent API rate limits or access controls
• Reverse engineer, decompile, or disassemble our software
• Use automated systems to access the Services in a manner that exceeds reasonable human usage
• Introduce malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Services to engage in market manipulation, fraud, or other illegal activities
• Misrepresent the source or ownership of data obtained from our Services
• Use the Services in any way that violates applicable laws or regulations

7. Intellectual Property

7.1 Our Intellectual Property

All intellectual property rights in the Services, including but not limited to software, APIs, documentation, website design, trademarks, and logos, are owned by Synapse Discovery or our licensors. These Terms do not grant you any ownership rights in our intellectual property.

7.2 License to Data

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the data provided through our Services for your internal business or personal purposes. This license does not include the right to redistribute data commercially without authorization.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback without compensation or attribution.

10. Indemnification

You agree to indemnify, defend, and hold harmless Synapse Discovery and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any investment or trading decisions made based on data obtained from our Services; or (e) any content you submit or transmit through the Services.

11. Dispute Resolution and Arbitration

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Montgomery County, Texas, or another mutually agreed location.

11.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11.3 Exceptions

Either party may seek injunctive relief in court to prevent irreparable harm pending arbitration. Claims for intellectual property infringement may be brought in court.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Montgomery County, Texas, and you consent to the personal jurisdiction of such courts.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion for any other reason

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Data Usage Policy, constitute the entire agreement between you and Synapse Discovery regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We will not be liable or responsible for any failure to perform, or delay in performing, any obligation under these Terms that is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action or changes in law, power or internet failures, and outages, degradation, or failures of third-party hosting, infrastructure, or data providers (including the SEC and other data sources), cyberattacks, or other similar events.
